1. Acceptance of Terms
By accessing or using Pecutecha's website and services, you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, please do not use our services. These Terms constitute a legally binding agreement between you ("Client," "you," or "your") and Pecutecha, UAB (Company Code: 303119870) ("Company," "we," "us," or "our").

3. Service Agreements
Specific services will be provided under separate service agreements that detail:

- Timeline and milestones
- Payment terms and pricing
- Intellectual property arrangements

In case of conflict between these Terms and a service agreement, the service agreement shall prevail.
4. Client Responsibilities
You agree to:

- Cooperate in good faith during project execution
- Provide timely feedback and approvals
- Make required personnel and resources available
- Comply with applicable laws and regulations
- Pay all fees according to agreed terms
5. Payment Terms
General Terms:
- Payment schedules will be outlined in individual service agreements
- Invoices are typically due within 30 days of issuance
- Late payments may incur interest charges of 1.5% per month
- We reserve the right to suspend services for overdue payments
Dispute Resolution:
Payment disputes must be raised within 10 days of invoice receipt. Undisputed portions of invoices remain due as scheduled.
6. Intellectual Property
Client IP: You retain ownership of your pre-existing intellectual property and data.
Custom Developments: Unless otherwise specified in service agreements:
- Custom software developed specifically for your business needs will be owned by you
- We retain rights to general methodologies, know-how, and reusable components
- Third-party software and libraries remain owned by their respective owners
Confidential Information: Both parties agree to maintain confidentiality of sensitive business information.
7. Data Protection and Security
We are committed to protecting your data in accordance with GDPR and other applicable laws:
- We implement appropriate technical and organizational security measures
- Data processing activities are governed by our Privacy Policy
- We will notify you of any data breaches as required by law
- Data retention periods are specified in our Privacy Policy
8. Service Level Agreements
Where applicable, we provide:
- Defined response times for support requests
- Uptime guarantees for hosted solutions
- Performance metrics and reporting
- Escalation procedures for critical issues

9. Warranties and Disclaimers
Limited Warranty: We warrant that our services will be performed with professional skill and care.
Disclaimer: Except as expressly stated, our services are provided "as is" without warranties of any kind. We disclaim all implied warranties including merchantability and fitness for a particular purpose.
Third-Party Services: We are not responsible for the performance or availability of third-party services integrated into our solutions.
10. Limitation of Liability
To the maximum extent permitted by law:
- Our total liability shall not exceed the fees paid for the specific service causing the claim
- We shall not be liable for indirect, consequential, or punitive damages
- This limitation applies regardless of the legal theory of recovery
- Some jurisdictions do not allow these limitations, so they may not apply to you
11. Force Majeure
We shall not be liable for delays or failures in performance due to circumstances beyond our reasonable control, including but not limited to acts of God, natural disasters, pandemics, government actions, or internet service disruptions.
12. Termination
Termination by Either Party:
- Either party may terminate ongoing services with 30 days written notice
- Immediate termination is allowed for material breach not cured within 15 days
- We may suspend services immediately for non-payment
Effect of Termination:
- You remain obligated to pay for services rendered
- We will provide reasonable assistance with data migration
- Confidentiality obligations survive termination
13. Governing Law and Jurisdiction
These Terms shall be governed by the laws of Lithuania. Any disputes shall be subject to the exclusive jurisdiction of the courts of Lithuania. For clients outside Lithuania, we may agree to alternative dispute resolution methods.
14. Changes to Terms
We reserve the right to modify these Terms at any time. Material changes will be communicated with 30 days advance notice. Continued use of our services after changes take effect constitutes acceptance of the modified Terms.
15. Severability
If any provision of these Terms is found to be unenforceable, the remaining provisions shall remain in full force and effect.
16. Independent Contractors
The relationship between Pecutecha and clients is that of independent contractors. These Terms do not create a partnership, joint venture, or employment relationship.
17. Entire Agreement
These Terms, together with any applicable service agreements and our Privacy Policy, constitute the entire agreement between the parties and supersede all prior negotiations, representations, or agreements.
